Hudson Hill Capital (“Hudson Hill”) today announced the final closing of a single-asset Continuation Vehicle (“CV”) for InXpress (“the Company”), a global specialist in international and domestic logistics solutions. Hudson Hill is a private equity firm headquartered in New York that invests in tech-enabled companies across industries benefiting from secular tailwinds, including industrial technology, software, and financial services.
The new partnership allows Hudson Hill to continue supporting the Company’s ongoing growth while offering existing investors options for liquidity or continued investment. Hudson Hill and company management have rolled the entirety of their proceeds into the transaction, which was led by Barings Capital Management, LLC (“Barings”) and Ardlussa Capital (“Ardlussa”).
Founded in 1999 in the United Kingdom, with an executive leadership team headquartered in Sandy, UT, InXpress connects small and mid-sized businesses to parcel and freight carriers through a franchise network that today spans 14 countries, 450 franchises and more than 46,000 customers, reselling capacity from DHL, UPS, FedEx and over 100 freight carriers on its proprietary WebShip platform.
“Since we acquired a controlling stake in InXpress in 2020, system revenue has risen by nearly 200%. Now, after five years of significant investment and growth, the company possesses the go-to-market capabilities to accelerate this expansion worldwide,” said Eric Rosen, Managing Partner and Founder of Hudson Hill Capital. “This transaction reflects our long-term mindset when it comes to building businesses and our commitment to InXpress and its leadership team.”
“We are excited to continue our partnership with Hudson Hill and to welcome new investors as InXpress enters the next stage of its growth,” said Clinton Squadroni, Chief Executive Officer of InXpress. “Hudson Hill has provided the operational and strategic support needed to expand our carrier relationships, launch new proprietary technologies, deepen the impact of our global training and sales enablement programs, and help our franchisees build their sales teams. The value of these efforts is continuing to compound, and the CV positions us to invest further in the business and advance our long-term strategy in the years to come.”
“InXpress has built a differentiated, high-quality platform and is now the last independent, globally operated, franchise-led company in the space,” said Jonathan Hammill, Senior Director of Private Equity Solutions at Barings. “We are pleased to support the Company’s continued growth as co-lead investor in the transaction, which reflects our confidence in the platform and the leadership and vision displayed by the Hudson Hill and InXpress partnership.”
“We have followed this business as it has continued to grow, and the investment over the last five years is clearly reflected in the results,” said Jeff Aebischer, Managing Partner of Ardlussa. “InXpress’ next phase is about continuing to scale what already works, and co-leading this vehicle allows us to support the company as it undertakes this journey.”
“Our relationship with Hudson Hill goes back over seven years, during which we watched the firm scale while staying true to its core ethos of patient capital and real operational involvement. This is our first investment alongside them, and InXpress is exactly the kind of platform we look for with a proven track record, strong management, and consistent year-over-year growth. We are proud to be a significant investor in the transaction alongside Hudson Hill,” said Finley John, Partner and Head of US Primaries, Co-Investments & Secondaries at Quilvest Capital Partners.
Evercore served as financial advisor to Hudson Hill. Ropes & Gray LLP served as lead legal counsel and Cleary Gottlieb Steen & Hamilton LLP served as additional legal counsel to Hudson Hill. Winston Taylor LLP served as lead legal counsel to Barings and Ardlussa.
