MBAI Advances Proposed Merger with Physical AI Company, MBody AI Corp., Completing 1-for-7 Reverse Share Split

On August 13^th MBAI announced that a 1-for-7 reverse share split of the Company’s ordinary shares was completed advancing its proposed merger with a physical AI company, MBody AI Corp. The Reverse Share Split is a proactive, shareholder-approved step taken in preparation for the closing of the proposed merger and the combined company’s initial listing application with Nasdaq. Currently, MBAI is in compliance with all applicable Nasdaq continued listing standards. Completing the Reverse Share Split ahead of closing of the merger positions the combined company to satisfy the $4.00 minimum bid price standard that applies to its initial listing application with Nasdaq. The proposed MBAI merger remains on track to close in the third quarter of 2026.

The MBAI Reverse Share Split adjusts the number of issued and outstanding ordinary shares from approximately 9,463,062 shares to approximately 1,351,866 shares resulting in a very lean total share structure.

MBody AI Takes Autonomous Services Outdoors, Expanding Addressable Market

On August 6^th MBAI announced expanding its addressable market from indoor to outdoor autonomous services. MBAI has secured exclusive U.S. distribution rights for outdoor cleaning robots in gaming and large hotels and resorts, and in six states (Nevada, Arizona, New Jersey, Pennsylvania, California, and Connecticut), through an agreement with a leading autonomous cleaning robot manufacturer. The move multiplies the range of services MBAI can automate for the properties it already serves and opens a new outdoor automation market.

MBAI has run the solution in real-world pilot deployment with a major U.S. gaming and hospitality operator, which is expected to continue and expand its use. The MBAI outdoor cleaning solution is designed to combine multiple robot types, from multiple brands, working together through the MBody AI Orchestrator™ platform to complete work a single robot type could not complete on its own. For existing clients, the outdoor robots will also be able to share data with indoor robot types through the same platform. MBAI is now offering the solution to additional customers as MBody AI expands its automation solutions into outdoor spaces.

While outdoor cleaning is the initial application, MBAI views it as the foundation for a broader outdoor automation roadmap, with additional maintenance functions expected to be automated over time and managed through the Orchestrator. These may include lawn and golf course mowing and maintenance, parking lot cleaning and line striping, security monitoring, garbage collection, pool and pool deck cleaning, and exterior window cleaning. Nearly all of MBAI existing clients have parking lots and outdoor space to maintain, a direct opportunity to expand deployments with existing customers while adding new customers for outdoor robotic solutions.

Advancing Robot Fleet Operating System with Multi-Robot Control

On July 16^th MBAI announced it added multi-robot fleet control to the MBody AI Orchestrator. The new capability allows the MBAI Orchestrator to monitor and direct mixed-brand robotic fleets that previously required separate, vendor-specific systems. MBAI plans to roll out control capabilities to existing customers, who currently use the platform’s multi-brand reporting, as a software update.

Traditional robotic platforms are limited to a single hardware ecosystem. The MBAI Orchestrator allows enterprises to manage heterogeneous, or mixed-brand, robotic fleets from one centralized interface. It delivers real-time visibility into fleet performance, task execution, operational status and workflow optimization. With the new multi-robot control capability, enterprise operators will be able to control diverse fleets at scale, without being tied to individual hardware vendors.

MBAI has filed a provisional patent application directed to its architecture for controlling heterogeneous, multi-manufacturer robotic fleets, the core technology behind the new capability.

Agreement for Bringing AI Robotics to Buyers Edge Platform Operators, Manufacturers and Distributors

On July 14^th MBAI announced it entered into a new referral and channel partner agreement with Buyers Edge Platform OpCo LLC, a leading digital procurement network and solutions partner for the foodservice industry. The partnership positions MBAI Orchestrator^™ as Buyers Edge Platform’s physical‑AI and robotics provider, giving MBAI access to approximately 286,000 operator locations across foodservice and hospitality markets.

The MBAI hardware-agnostic platform enables deployment of robots into broad robotic categories, which may include cleaning, back-of-house automation, logistics and prep assistance, and others. Demand will be driven by operator needs identified through Buyers Edge Platform’s sales network and data insights.

Expanding Robotics Footprint Across U.S. and Canada

On June 29^th MBAI announced expanding its U.S. service-robotics operations from nine to eleven states and has entered the Canadian market with its first deployment.

MBAI is entering the Canadian market, marked by the appointment of a dedicated general manager and the launch of its first deployment. The MBAI Orchestrator platform and two types of service robots have been deployed in live operations demonstrating robotics capabilities in real-world operations.
